Terms of Service

These terms govern your access to and use of the Onbrand platform. By creating an account or using the service, you agree to them.

1. Agreement to these terms

By accessing or using Onbrand (the “Service”), operated by ACT Agency (“Onbrand”, “we”, “us”), you agree to these Terms of Service. If you use the Service on behalf of an organisation, you accept these terms for that organisation and confirm you are authorised to do so. If you do not agree, do not use the Service.

2. The Service

Onbrand is a brand-management platform providing brand guidelines, AI-assisted content creation, a content calendar, creative automation, social publishing, and related tools. We may add, change, or remove features at any time to improve the Service.

3. Accounts and eligibility

You need an account to use most features. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. You must be at least 16 years old and able to enter into a binding contract.

4. Acceptable use

You agree not to:

  • Misuse the Service, probe its security, or interfere with its operation;
  • Upload unlawful, infringing, or harmful content;
  • Attempt to access data, accounts, or workspaces that are not yours;
  • Reverse-engineer, scrape, or resell the Service; or
  • Use the Service to generate content that is illegal, deceptive, or that violates the rights of others.

We may suspend or limit accounts that breach these rules.

5. Your content

You retain ownership of the brand assets, documents, and other content you upload or create (“Your Content”). You grant us a limited licence to host, process, and display Your Content solely to provide the Service to you and your team. You are responsible for having the rights to the content you upload.

6. AI-generated output

The Service uses AI models to help you draft copy, generate images, and produce other output (“Output”). Output may be inaccurate, may resemble output provided to others, and is not guaranteed to be original or fit for any purpose. You are responsible for reviewing Output before you publish or rely on it — including for accuracy, rights clearance, and brand compliance.

7. Third-party services

The Service integrates with third-party providers — for example AI model providers, social platforms, and storage providers. Your use of those integrations may be subject to the third party’s own terms. We are not responsible for third-party services.

8. Intellectual property

The Service — including its software, design, and the content we provide — is owned by Onbrand and protected by intellectual-property laws. These terms do not grant you any right to our trademarks or branding.

9. Fees

Where a paid plan applies, the fees, billing cycle, and renewal terms are set out in your order or plan. Unless stated otherwise, fees are non-refundable and exclusive of applicable taxes. We may change pricing with reasonable notice.

10. Confidentiality

Each party may receive non-public information from the other. Both parties agree to protect such information and use it only to fulfil these terms.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these terms or where required by law. On termination your right to use the Service ends; we will make Your Content available for export for a reasonable period unless prohibited by law.

12. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, or that Output will be accurate or suitable for your purposes.

13. Limitation of liability

To the fullest extent permitted by law, Onbrand will not be liable for indirect, incidental, or consequential damages, or for lost profits, data, or goodwill. Our total liability for any claim is limited to the amount you paid for the Service in the 12 months before the claim.

14. Changes to these terms

We may update these terms from time to time. If we make material changes we will provide notice — for example in-app or by email. Continued use after changes take effect means you accept the updated terms.

15. Governing law

These terms are governed by the laws of the Netherlands, and disputes are subject to the exclusive jurisdiction of the competent courts of Amsterdam, unless mandatory local law provides otherwise.
